Terms of service

01The agreement and the parties

  • Legal entity name and ABN
  • That the customer is a business, not a consumer acquiring for personal use
  • How the terms are accepted and how changes are notified

02Subscription, billing and cancellation

  • Month-to-month term with no minimum commitment — this is a stated market position, make sure the contract matches the marketing
  • Cancellation self-service in-app, effective at the end of the paid period
  • No auto-renewal into a fixed term, explicitly stated
  • Pricing in AUD, GST treatment stated once and consistently
  • Metered usage: SMS, email, WhatsApp and AI limits, and what happens on overage

03Acceptable use — the important one

  • Customer must not use the platform to solicit fake or incentivised reviews
  • Customer must not attempt to suppress or filter genuine negative reviews
  • Customer warrants it has consent to contact the individuals it uploads
  • Right to suspend for breach, given our own compliance exposure
  • Cross-reference the public review collection policy

04Customer data and who owns what

  • Customer owns its contact lists and its review content
  • Our licence to process that data to deliver the service
  • Export available on request; be honest about the limits of what can be exported

05Third-party platforms

  • Google Business Profile, Meta, WhatsApp and OTA platforms each have their own terms
  • We do not control their policies, ranking, review removal decisions or suspensions
  • No warranty of any ranking, review volume or AI visibility outcome

06Australian Consumer Law

  • Non-excludable consumer guarantees acknowledged — they cannot be contracted out of
  • Liability limited to the extent permitted by the ACL
  • Liability cap, typically fees paid in the preceding 12 months

07Physical goods (tap cards)

  • Delivery timeframes and freight
  • Returns and replacement for faulty NFC hardware
  • That prices include GST

08Term, suspension and termination

  • Suspension for non-payment or acceptable-use breach
  • What happens to data after termination and for how long

09General

  • Governing law and jurisdiction — nominate an Australian state
  • Dispute resolution before proceedings
  • Assignment, severability, entire agreement
